Revalue Energies S.p.A., an Italian company active in the development, financing, construction and operation of renewable energy plants (such as photovoltaic, wind and storage systems), has completed, through its subsidiary Mitra S.r.l., its first project financing transaction, with a total value of approximately €160 million. The transaction concerns a portfolio of 26 photovoltaic projects in Italy, with a total generating capacity of approximately 162 MW.
The financing was granted by a pool of leading financial institutions made up of Bayerische Landesbank (BayernLB), ING Bank N.V. – Milan Branch and UniCredit S.p.A., which acted as Mandated Lead Arrangers, Original Lenders, Bookrunners and Global Coordinators of the transaction. ING Bank N.V., London Branch also acted as Agent, while ING Bank N.V. – Milan Branch also acted as Original Issuing Bank. The financing includes three main lines: a Senior Facility, a DSR Facility and a GSE Guarantee Facility. The structure also includes an accordion mechanism designed to support the potential future expansion of the financed portfolio.
The lending banks and the hedging counterparties were assisted by BonelliErede with a multidisciplinary team, part of the Infrastructure, Energy and Ecological Transition Focus Team, led by Partner Gabriele Malgeri and made up, for the financial documentation and the structuring, preparation and negotiation of the project contracts, of Senior Associates Lisa Borelli and Luigi Mazzola and Denis Milan. Administrative law aspects were handled by Partner Giovanna Zagaria, assisted by Associates Elisa De Giuli and Silvia Jachia, while the due diligence on corporate profiles and land contracts was carried out by Associates Giorgia Racini, Camilla Orsi and Jasmine Proietti. Partner Riccardo Ubaldini, together with Senior Associates Matteo Polisicchio, Giovanni Bisleri and Matteo Sturla and Associate Martina La Palma, handled the tax aspects of the structuring of the corporate reorganization and of the financing, while Associate Alessandro Nicolini handled the preparation and negotiation of the hedging contracts.
Revalue Energies handled the financial, legal and technical aspects of the transaction in-house with a team made up of Andrea Palin, Angela Caselli, Marta Mancina and Edoardo Bognanni, coordinated by Marco Corsetti and Luca Di Giacomo.
